EMPLOYEE’S NON-DISCLOSURE CLAUSE
i. Interpretation
“Confidential Information” means all sensitive information obtained by the employee in the course of his or her employment with Rosabon Financial Services Limited (“the company” or “RFS Limited”) whether orally, in writing, or by electronic means that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Confidential Information of RFS Limited includes customer data; trade secrets, business and marketing plans, technology and technical information, product plans and designs, business processes, and information of proprietary interest to the company.
However, Confidential Information does not include any information that is or becomes generally known to the public without breach of any obligation owed to the employee.
ii. Terms and Conditions agreed by the Employee
a. This Non-Disclosure Agreement (“NDA”) is hereby incorporated as part of the terms and conditions of the employee’s contract of employment with RFS Limited and guides the relationship of the employee in relation to the company’s confidential information as defined in this Agreement.
b. The employee shall exercise due diligence and reasonable degree of care to protect all confidential information of RFS Limited, and shall not copy or disclose such confidential information to third parties without the express authorization of the company.
c. The employee shall only use such confidential information obtained in the course of his or her employment for sole benefit of the company at all material times including the periods after the termination of the employee’s contract of employment with RFS Limited.
d. The employee may disclose such confidential information only to the extent as may be compelled by the extant laws of the Federal Republic of Nigeria, provided the employee gives the prior notice of the circumstances of such compelled disclosure to the company.
e. Any intellectual property, ideas, inventions, or creations developed by the employee during the course of their employment shall be the exclusive property of the company and the employee shall assign all accruing rights of such intellectual property to the company and maintain the confidentiality of any such developments.
f. Upon the termination of employment, whether voluntary or involuntary, the employee shall promptly return to the company all documents, records, data, and any other materials containing confidential information in his or her possession or custody.
iii. Consent
I, the undesigned hereby confirm that I have read with complete understanding the foregoing terms and conditions and express my consent to the employee’s non-disclosure clause of RFS Limited.
